SkyMirror Limited Terms and Conditions

Welcome to SkyMirror Limited! These Terms and Conditions (“Terms”) govern your access and use of our consultation services (“Services”). By using our Services, you agree to be bound by these Terms. Please read them carefully.

1. Definitions:

  • “Client” refers to the individual or entity engaging SkyMirror Limited for consultation services.

  • “Services” refers to the technology consultation services offered by SkyMirror Limited.

  • “Project” refers to a specific engagement undertaken by SkyMirror Limited for a Client.

  • “Intellectual Property” refers to any and all intellectual property rights, including copyrights, patents, trademarks, trade secrets, and know-how.

2. Scope of Services:

  • SkyMirror Limited provides technology consultation services to Clients, as defined in the individual project agreement.

  • The specific scope of Services will be outlined in a separate project agreement for each Client engagement.

  • SkyMirror Limited reserves the right to refuse or discontinue Services at its sole discretion.

3. Fees and Payment:

  • Fees for Services are determined by the complexity of the project, required expertise, and time commitment.

  • Detailed fee proposals will be provided to the Client for approval before work commences.

  • Payment terms will be specified in the project agreement and must be adhered to by the Client.

  • Late payments will be subject to late fees as defined in the project agreement.

4. Intellectual Property:

  • The Client retains ownership of all Intellectual Property related to their project, unless otherwise agreed upon in writing.

  • Any work created by SkyMirror Limited for the Client remains the property of SkyMirror Limited, unless otherwise agreed upon in writing.

  • The Client agrees not to infringe upon any of SkyMirror Limited’s Intellectual Property rights.

5. Confidentiality:

  • SkyMirror Limited and the Client agree to keep confidential all non-public information disclosed to each other during the course of the engagement.

  • This obligation shall survive the termination of the project agreement for a period of five years.

6. Warranties and Disclaimers:

  • SkyMirror Limited provides its Services “as is” and makes no warranties, express or implied, regarding their accuracy, completeness, or suitability for any particular purpose.

  • SkyMirror Limited is not liable for any damages arising from the use of its Services, including but not limited to, direct, indirect, incidental, consequential, or punitive damages.

7. Termination:

  • This agreement may be terminated by either party upon written notice and for any reason.

  • In the event of termination, the Client shall be responsible for paying all fees for Services rendered up to the date of termination.

  • SkyMirror Limited may also terminate this agreement immediately if the Client breaches any of its terms.

8. Dispute Resolution:

  • Any dispute arising out of or relating to these Terms shall be resolved through good faith negotiation.

  • If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

9. Governing Law:

  • These Terms shall be governed by and construed in accordance with the laws of the State of [State Name], without regard to its conflict of laws provisions.

10. Entire Agreement:

  • These Terms constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

11. Amendment:

12. Severability:

  • If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

13. Waiver:

  • No waiver of any provision of these Terms shall be effective unless in writing and signed by the party against whom the waiver is sought to be enforced.

14. Notices:

  • All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered personally, sent by certified or registered mail, return receipt requested, postage prepaid, or sent by overnight courier service.

By using SkyMirror Limited’s Services, you acknowledge that you have read and understood these Terms and agree to be bound by them.
